Terms of Service
Written to be read. If anything below is unclear, ask us before you agree to it — a term you did not understand is not a term we want to rely on.
Last updated 21 October 2026
1. Who you are contracting with
BISA AIDE GROUP LIMITED is a private company limited by shares, incorporated in Uganda under the Companies Act, Cap 106 (company number 80046834022644). Its registered office is at Kyebando Central, Kyebando, Kawempe Division, Kampala, and its postal address is P.O. Box 220384, Kampala GPO. In these terms it is “we”, “us” and “Bisa Aide Group”.
“You” means the person or business using our services. If you agree to these terms on behalf of a company, you confirm you are authorised to do so.
Bisa Aide Group Limited is the only entity that contracts with you. No other company, and no individual director or shareholder, is party to this agreement.
2. What we are, and what we are not
Bisa Aide Group is not a law firm and is not an accounting firm. We do not practise law or provide audit services, and we do not hold ourselves out as doing so. Our registered objects are business support, administrative, back-office and record-keeping services; software; and the procuring and coordinating of independently licensed professionals on behalf of clients.
Legal and accounting work is performed and signed by independent licensed Ugandan professionals — advocates admitted to the roll, and accountants in good standing with their professional body. Each of them acts in their own professional capacity, under their own regulator, and under their own retainer with you. That is not a disclaimer we have written for convenience; it is the basis on which this company is constituted.
We verify each professional's practising certificate before they are given work, we coordinate the engagement, and we build the software that keeps it on schedule. We do not direct their professional judgement. Where a matter requires a legal opinion or an audit, that professional's relationship with you is governed by their own terms and their own regulator's rules, which take precedence over these terms to the extent of any conflict.
3. The software you subscribe to
Aide Watch, Aide POS, Aide Books, Aide Comply and Aide Grow are delivered through Aide Central. While your subscription is current we grant you a non-exclusive, non-transferable right to use them in your own business. You may not resell them, operate them on behalf of other businesses as a service, or copy them.
Your records are yours. Sales, stock, ledgers, customers, suppliers and documents you enter or upload belong to you. We hold them to run the service and to meet our own legal obligations. You may export them at any time while your subscription is current, and we will provide an export on request for thirty days after it ends.
Aide POS is built to keep selling when the network drops and to synchronise when it returns. We do not guarantee uninterrupted availability, and a sale completed offline is recorded on your device until it syncs. You remain responsible for the accuracy of what is entered at your counter.
4. Payments, and why your money never passes through us
We never hold, receive or control money belonging to you or to your customers. Where you take card or mobile money payments through Aide POS, you do so on your own Pesapal merchant account, in your own name, settling to your own bank or mobile money account. We connect your account to the software so that a payment appears in your books; the funds move from your customer to your settlement account without touching any account of ours.
This is deliberate and it is not negotiable. Holding or transmitting other people's money in Uganda requires a licence under the National Payment Systems Act, 2020. We do not hold one and we do not operate as though we do. There is no Bisa Aide wallet, no pooled account and no float.
Your agreement with Pesapal, and with your bank or mobile money provider, is yours. Their fees, their settlement times and their decisions about your account are theirs, not ours. If a payment fails, is reversed or is disputed, that is resolved between you, your customer and your payment provider; we will help you find the records.
Fees you owe us are a separate matter and are paid to us directly.
5. Where an accountant is included
Aide Comply and Aide Grow include the work of a licensed accountant who reviews and closes your month and prepares and files returns. What is included is stated on the plan page and in your engagement, and currently means one URA return each month on Aide Comply and up to three on Aide Grow. Further returns in a month are charged at the published rate.
Bringing books up to date that were not kept before you joined is separate work, quoted before it starts. Statutory audit, where your turnover requires one, is not included in any plan.
The accountant signs their work in their own name and carries their own professional responsibility for it, as set out in clause 2.
6. Fees, and what is not a fee
Our prices are published on this website and are the same for everyone. We quote in Uganda shillings; any figure shown in dollars is a conversion for convenience at the rate stated, and the shilling amount is what is owed.
Statutory fees are not our revenue, and they are not included in our price. Amounts payable to the Uganda Registration Services Bureau, the Uganda Revenue Authority, a local authority or any other public body are charged in addition to our fee, collected from you and remitted to them at cost, and the receipt is yours. In collecting them we act as your agent for that payment and nothing more; the money is never ours. What they come to depends on what you are registering and, for a company, on the nominal share capital you declare — so we work your figure out and put it in writing before you pay anything. If a public body changes its fees between our quote and your filing, the amount you owe them changes with it, and we will tell you before anything is paid.
Per-job work is quoted, agreed and paid before it begins. Subscriptions are billed in advance for the period. Payment processing charges are ours, not yours, unless we state otherwise.
7. Timing, and what we cannot promise
Much of what we do depends on public bodies whose timelines we do not control. Name reservation, incorporation, tax registration and licensing all move at the pace of the relevant authority.
We therefore commit to when we will start, and never to when a government body will finish. Where we publish a turnaround, it is a good-faith estimate based on ordinary conditions, not a guarantee. Where you purchase a priority or same-day service level, what you are buying is our responsiveness — the point at which we begin and the priority we give you — not a shorter queue at URSB or URA.
8. What we need from you
We can only file what you give us. You agree to provide accurate, complete and current information and documents, and to tell us promptly if something changes — a new director, a change of address, a bank account closed.
We are entitled to rely on what you tell us without independently verifying it. If a filing is late, rejected or incorrect because information was missing, wrong or late, any resulting penalty, interest or re-filing cost is yours. We will always tell you what is outstanding before a deadline rather than after it.
9. Funding readiness is not funding
Some of our services prepare a business to approach lenders or investors: organising books, assembling a document pack, building a pitch.
We do not raise capital, broker investment, introduce investors for a fee, or take any share of money you raise. We make no representation that any funder will lend to you or invest in you, and our fee is never contingent on an outcome. We are not licensed to conduct investment business and nothing we provide is investment advice or a recommendation to invest.
10. Our advice, and its limits
Guidance we publish — articles, checklists, calculators, templates, explanations in our tools — is general information about business in Uganda. It is not legal, tax, accounting or investment advice for your situation, and should not be relied on as such. Where you need advice on your circumstances, ask us and we will put you in front of a professional who can give it.
Where any part of our service uses automated or AI-assisted tools — for example to draft a document, categorise a transaction or suggest a plan — the output is reviewed by a qualified person before it is filed, published or acted on. You should not treat an unreviewed draft as final.
11. Your information
We collect and handle personal data in line with the Data Protection and Privacy Act, 2019 of Uganda and other applicable law. We use what you give us to deliver the services you asked for and to meet our own legal obligations. We do not sell it, and we do not add you to anything you did not ask for.
We share information with the licensed professional handling your matter and with public bodies where a filing requires it. We use third parties for hosting, payments and email, who process data on our instructions. Documents you upload are stored privately; only you, the professionals working on your matter, and our administrators can open them.
You may ask us what we hold about you, ask us to correct it, or ask us to delete it where we are not required to keep it. Some records — filings, invoices, identity checks — must be retained for periods set by Ugandan law and we cannot delete those on request.
12. Confidentiality
We treat your business information as confidential and will not disclose it except to the people working on your matter, where you have asked us to, or where the law requires it. The professionals on our bench owe you their own professional duties of confidentiality in addition to this.
13. Intellectual property
Documents we prepare for you are yours once paid for. Our templates, software, written materials and the tools behind them remain ours. Where we licence a template or resource to you, it is for use in your own business — not for resale, redistribution or use on behalf of others.
14. Liability
We will do our work with reasonable care and skill. Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability to you in connection with any engagement is limited to the fees you paid us for that engagement, excluding statutory fees we collected and remitted on your behalf. We are not liable for indirect or consequential loss, for loss of profit or opportunity, or for penalties arising from information you did not give us in time.
Where a professional signs work in their own capacity, their professional liability for that work is theirs, and may be covered by their own indemnity arrangements. We will tell you who signed what.
15. Cancellation and refunds
You may cancel a subscription at any time, effective at the end of the period you have paid for; we do not pro-rate part months. For per-job work, if you cancel before we begin we refund what you paid, less any statutory fees already paid to a public body on your behalf, which are not recoverable. Once work has begun we refund the unworked portion.
We may decline or stop work where we are unable to verify your identity, where a matter would require us or a professional to act improperly, or where fees remain unpaid after we have asked twice.
16. Changes
We may update these terms. If a change materially affects you we will tell you by email before it takes effect, and the date at the top will change. If you do not accept a change you may cancel; continuing to use the services after it takes effect means you accept it.
17. Governing law
These terms are governed by the laws of Uganda, and the courts of Uganda have jurisdiction over any dispute. Before either of us goes to court we will try to resolve the matter directly — write to us and a person will answer.
18. Reaching us
Email support@bisaaidegroup.com, or message us on WhatsApp at +256 767 359 989. A person reads both. If something has gone wrong, say so plainly; we would rather hear it from you than not.
